Main purpose of position
Currently we are looking for a Legal Counsel in Bucharest, Romania to be part of our global team working together towards our vision – Improving our future. As our Legal Counsel you will support projects globally, including but not limited to project acquisitions, Project Finance Transactions, the financial closure of Projects, asset management and of Projects post financial close; General contract management and legal support of the EPC and O&M business, including drafting and negotiation of EPC Contracts, O&M Agreements and supply contracts. You will be able to show your ability to structure and negotiate complex transactions, to lead external and internal development processes and to collaborate with multidisciplinary teams leading successfully the project to construction start.
Main responsibilities
- Draft, review and negotiate complex transactional and project acquisition agreements, shareholders agreements, partnership/joint venture agreements, joint development agreements, development services agreements, intercompany agreements, and/or other agreements of a similar nature.
- Draft, review and negotiate mandate letters, finance term sheets, negotiate finance agreements for projects, manage CP fulfillment process in order to ensure financial close in accordance with expected timelines.
- Draft, review and negotiate power purchase and/or offtake agreements, grid connection agreements and related transmission and distribution agreements.
- Draft, review and negotiate engineering, procurement and construction (EPC) agreements, operation & management (O&M) and asset management agreements. Experience with FIDIC suite of contracts is a plus.
- Draft, review and negotiate letters of intent, (non) binding offers and term sheets for new pipeline projects. Act as trusted legal adviser of the business development team during the acquisition of new pipeline projects, and assist with identifying, analysing and mitigating legal risks during the transaction.
- Draft, review and negotiate land option, land lease and/or similar project land related agreements.
- Conduct ongoing general risk assessments to identify potential areas of compliance vulnerability, risk and improvements within the Region.
- Research on local laws in the jurisdictions in the Region, regulations and policies, including company law, investment law, land law, construction law, civil and commercial law and other related laws, photovoltaic and wind power project policies, and the practical operations of relevant laws and regulations.
Qualifications and competencies
- A Law Degree from a reputable university in Romania or Poland or an equivalent, internationally recognised qualification and international exposure
- Minimum 5+ years’ relevant work experience – either law firm or in-house counsel
- Excellent Romanian or Polish (as may be the case) and English skills, both written and verbal.
- Careful and meticulous, adapt to high strength and high-pressure work
- A collaborative approach, professionalism, and the capacity to build strong relationships and work effectively within a global team
- Strong analytical, problem-solving, and critical thinking abilities, with meticulous attention to detail in high-stakes transactions
- Experience and/or interest in the following areas: renewable energy; oil/gas; corporate finance and/or project finance; project development; FIDIC suite of contracts
- You are used to changing environments and to quickly meet new challenges
